Establishing a Company in Thailand
Establishing a company in Thailand can be challenging for foreign investors due to moderate levels of corruption and bureaucracy. Economic growth in Thailand has attracted many investors in recent years despite the pressures of the currency exchange. Important points for entrepreneurs to note when establishing a business in Thailand include:
1.
When establishing a company in Thailand, a company liases with the following government bodies: the Commercial Registration Department for company name reservation and documentation filing; and the Revenue Department for tax registration.
2.
The most popular entity set up by foreign investors is the private limited company. This is due to the separation made between investors and the managerial body. A private limited company in Thailand can be 100% foreign owned and there is a minimum requirement of 7 ahareholders all of which enjoy limited liability.
4.
Thailand incorporation for a private limited company has no minimum capital required, unlike many other jurisdictions. The registration fee for companies ranges between 5,500 Baht (US$180) and 250,000 (US$8267) Baht.
5.
Some international investors register partnerships in Thailand. There are two types of official partnerships in Thailand. An ordinary partnership is a shared unlimited liability structure with a minimum requirement of two joint partnersand a limited partnership is similar to an ordinary one except for it requires registration.
6.
A representative office meets the objectives of many incorporated companies. A permit to establish a representative office is valid for five years and can be granted after application with the Department of Commercial Registration at the Ministry of Commerce. In order to get the permit, one must have 2,000,000 baht (US$66,140) in registered capital.
