Registering a company in Thailand is usually a quick and straight forward process. Depending on the corporate vehicle chosen, company registration in Thailand can be relatively quick and straight forward. Registration usually takes just over a month for private limited companies. This is the following form for private limited company registration in Thailand:

A Memorandum of Association is then written and submitted stating information such as; the 7 shareholder names and equities, company location, business objectives and total registered capital amount. This is filed with the Commercial Registration Department.

Articles of Incorporation will need to be approved during a Statutory Meeting. A corporate bank account (or temporary bank account if necessary) will need to be established for the 7 shareholders to inject 25% of their share of the registered capital each. Once this is completed, the directors can then apply to establish the company.

To establish the company, there are fees applicable. The registration fees comprise of 120 000 Baht (US$3,970) service fee and 12 500 Baht (US$380) government fees. Government fees are dependent on the amount of registered capital and the above quote assumes a registered capital of 2,000,000 Baht (US$66,000).

Tax and VAT registration will need to be done soon afterwards (within 60 days of incorporation). All companies in Thailand posses a Tax Identification Card and number for the company from the Revenue Department. Business operators earning more than 600,000 baht (US$19,840) per annum must register the company for VAT.

By law, a Thai company is required to submit annual tax returns and audited financial statements following Thailand company registration. All companies must keep books and follow accounting procedures specified in the Civil and Commercial Code, the Revenue Code and the Accounts Act.

• Ordinary Partnership This is a shared unlimited liability structure with a minimum requirement of two joint partners. This type of partnership does not require registration in Thailand, otherwise known as an unregistered ordinary partnerships. All partners involved are jointly and wholly liable for all obligations of the partnership. Registered ordinary partnerships become a legal entirety, separate and distinct from the individual partners.
  
• Limited Partnership This similar to that of an ordinary partnership, however it requires compulsory registration. There must also be two types of partnership, the first of which where both party's liability is limited and the second stating that both party's liability are joint and unlimited.
• Representative Office This is a branch of a multinational corporation, established to provide information and service to the head offices and affiliated companies. Representative office may perform the following limited duties; Advisory and management services, financial management, training and personnel development services, marketing/sales promotion plans, product development and research and development services.
