| Vietnam Company Incorporation | |||||||
Vietnam company incorporation is increasingly popular for international entrepreneurs seeking a foothold in this expanding southeast Asian economy. Some of the core procedural aspects of Vietnam company incorporation for foreign investors include: | |||||||
| 1. |
Vietnam company incorporation involves obtaining an Investment Certificate from the Vietnam Ministry of Planning and Investment. To achieve this, the following is submitted: i) a completed foreign investment application form supplied by the Ministry ii) a business plan prepared by the investor, outlining the company’s scope of activities, its operational strategies and financial projections, including funding sources

| 2. | Availability of company name for Vietnam company incorporation is confirmed at the Ministry of Planning and Investment and, if approved, the Ministry issues a Business Registration Certificate within 14 days.
| ||||||
| 3. | A seal-making license is obtained from the Administrative Department for Social Order (ADSO) in the city in which the company is being incorporated. The seal enables the company to i) apply for utilities and other vital services ii) register with the tax department iii) open a corporate bank account and iv) rent an office premises. The seal is made by a business recommended only by ADSO.

| 4. | The seal maker submits the seal to ADSO, and is collected by the investor or his agent, along with the seal’s certificate of registration, as issued by ADSO.
| ||||||
| 5. | A local corporate bank account is opened in the name of the proposed company, the minimum deposit required varying from bank to bank. To open the account, the following is submitted: i) a completed application ii) company seal and iii) Business Registration Certificate.
| ||||||
| 6. | Notice that the company has been registered must be published in a local Vietnamese newspaper in the city/region where the company is incorporated. The notice contains details such as company name and address of office premises.
| ||||||
| 7. | The company applies for a tax code at the Municipal Taxation Department, submitting i) notarised copy of the Business Registration Certificate ii) a completed tax registration declaration form and iii) the CV of the head accountant of the new company.
| ||||||
| 8. | Within 30 days of Vietnam company incorporation, the entity must register all employees and their qualifications with the Labor Office in the city/region in which the company is registered.
| ||||||
| 9. | The company registers with the Social Insurance Fund all employees who have contracts of at least three months.
| ||||||
| 10. | The company registers with the local trade union or industry trade union no later than six months from the date operations commence. | ||||||
